Welcome to Momentum Sports Algorithms LLC. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing or using our website, you agree to be bound by these Terms. Please read them carefully.

Welcome to Momentum Sports Algorithms LLC (d/b/a "Momentum Bets"). These Terms and Conditions (the "Terms") govern your access to and use of the Momentum Bets website (MomentumBets.com), any related applications, and all related services, features, content, and communications (collectively, the "Service") operated by Momentum Sports Algorithms LLC ("Momentum," "Momentum Bets," "we," "us," or "our").

 

By clicking to accept these Terms (or by creating an account, subscribing, accessing, or using the Service), you agree to be bound by these Terms and any updates to these Terms made in accordance with Section 20.2. If you do not agree, do not use the Service.

 

IMPORTANT: If you are physically located in Ontario, Canada, the Canada Addendum (Ontario Only) at the end of these Terms applies to you and may override certain sections (including governing law and dispute resolution). If there is a conflict between the main Terms and the Canada Addendum, the Canada Addendum controls for eligible Ontario users.

 

1. Definitions

 

• "Subscriber" means any user who purchases, uses a paid subscription, or uses a complimentary subscription (including during a free trial).

 

• "Content" means all content and materials made available through the Service (excluding User Content), including, but not limited to, text, data, software, alerts, and designs.

 

• "User Content" means any content you submit, upload, post, or transmit through the Service (if enabled).

 

• "Service/Transactional Messages" means text messages that are necessary to provide, operate, or support the Service (including criteria alerts, account/security, billing/subscription notices, and service-related updates).

 

• "Marketing/Promotional Messages" means text messages that advertise or promote Momentum Bets or the Service (including promotions, discounts, referral programs, or messages encouraging purchase, upgrade, or renewal).

 

2. Company Information and Service Overview

 

Momentum Sports Algorithms LLC provides an informational platform that allows users to set customized criteria and receive notifications when those criteria are met based on sports-related data (including betting-related data such as odds and lines).

 

We are not a sportsbook. We do not accept bets. We do not place wagers on your behalf. We do not facilitate, process, or broker betting transactions. We are an information-only platform.

 

3. Informational Use Only; No Professional Advice; Responsible Betting

 

3.1 Informational Service; No Recommendations

 

The Service provides informational alerts based on criteria you define. Nothing on the Service constitutes betting advice, financial advice, investment advice, legal advice, or professional advice of any kind. We do not recommend any bet, wagering strategy, or course of action.

 

You are solely responsible for evaluating information from the Service and for any decisions you make.

 

3.2 Responsible Betting

 

We encourage responsible betting. Betting should remain entertainment and should not cause harm. If betting negatively impacts your well-being, consider seeking support resources available in your jurisdiction.

 

3.3 No Guaranteed Results

 

We do not guarantee any particular outcome, edge, profit, or performance. Any decision you make based on the Service is at your own risk and made of your own accord.

 

4. Eligibility; Geographic and Technical Availability

 

4.1 Age

 

The Service is intended only for individuals who are at least 18 years old. By using the Service, you represent and warrant that you are at least 18.

 

You are solely responsible for ensuring your use of the Service (and any betting activity) complies with applicable laws in your jurisdiction, including any minimum legal betting age requirements.

 

4.2 United States Availability; Canada Availability by Addendum

 

The Service is offered in the United States.

 

The Service may be offered in Canada only as expressly described in the Canada Addendum (Ontario Only) at the end of these Terms, and only to eligible users physically located in Ontario at the time of use.

 

4.3 SMS/Text Messaging Eligibility (United States and Canada +1 Numbers)

 

To receive SMS/text notifications, you must provide a valid mobile phone number that:

 

• is part of the North American Numbering Plan (NANP), and

 

• begins with country code +1.

 

We do not support international numbers outside the United States and Canada at this time. If you provide a non-eligible number, you may not receive notifications, and Momentum is not responsible for missed alerts, failed deliveries, service interruptions, or other losses resulting from unsupported numbers, carriers, or regions.

 

You are responsible for ensuring your carrier supports SMS delivery and that your device can receive text messages. Delivery depends on carrier availability and network conditions.

 

5. Account Registration; Security; Account Limits

 

5.1 Registration and Accuracy

 

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated.

 

5.2 Security

 

You are responsible for safeguarding your account credentials and for all activity under your account. If you suspect unauthorized access, notify us immediately at support@momentumbets.com.

 

5.3 One Account Per Individual; No Sharing

 

Accounts may not be shared and may only be used by one individual. Only one account per individual is allowed. We may suspend or terminate accounts we reasonably believe are used to bypass free trials, subscription limitations, eligibility requirements, or other restrictions (including through multiple accounts associated with the same person).

 

6. Subscriptions, Billing, Auto-Renewal, Free Trials, Cancellation, Refunds

 

6.1 Plans and Billing Cadence (Monthly + Annual)

 

We offer subscriptions billed on a monthly and/or annual basis (as presented at checkout). Subscription features and pricing are described on the Service at the time of purchase.

 

6.2 Auto-Renewal

 

Unless otherwise stated at purchase, subscriptions automatically renew at the end of each billing period (monthly or annual) until you cancel.

 

6.3 Free Trial

 

If your subscription begins with a free trial (currently described as 14 days), you will not be charged until the trial ends. Unless you cancel at least 24 hours before the trial ends, your subscription will convert to a paid subscription and your payment method will be charged the applicable subscription fee.

 

We may change or discontinue free trials at any time, subject to applicable law.

 

6.4 Payment Authorization; Failed Payments

 

By subscribing, you authorize us (and our payment processors) to charge your payment method for:

 

• subscription fees (monthly or annual),

 

• applicable taxes, and

 

• any other charges you approve.

 

If your payment method fails, becomes invalid, or cannot be charged, we may suspend or terminate access to paid features until payment is successfully processed.

 

6.5 How to Cancel (Email Allowed)

You may cancel your subscription at any time through your account dashboard by logging in at app.momentumbets.com/account, navigating to the Subscriptions tab, and selecting “Manage Subscription.” This is the primary and preferred method for cancellation. 

 

If you are unable to cancel through your account, you may also request cancellation by emailing support@momentumbets.com. To allow us to verify and process your request, your email must include:

 

• the email address on your account, and

 

• a clear request to "cancel my subscription."

 

Cancellation requests submitted by email will be processed within a reasonable time. Until your cancellation is processed, your subscription will remain active.


Upon cancellation, your subscription will continue through the end of your then-current billing period (or trial period, if applicable). You will not receive a refund for any fees already paid, and you will not be charged for any subsequent billing periods.


Deleting the Momentum Bets application, deleting your account, or ceasing use of the Service does not automatically cancel your subscription.

 

Opting out of SMS messages does not cancel your subscription. You may cancel your subscription at any time through your account dashboard by logging in at app.momentumbets.com/account and selecting “Manage Subscription,” or, if you are unable to do so, by emailing support@momentumbets.com as described above.

 

6.6 Refunds and Credits

 

Except where required by law, all fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or unused features.

 

We may issue refunds in limited situations (for example, significant billing errors or substantial service interruptions directly caused by us) in our reasonable discretion.

 

6.7 Price Changes

 

We may change subscription prices from time to time. If changes apply to your subscription, we will provide notice as required by applicable law and/or reasonable advance notice by email or within the Service. Price changes typically take effect at the next renewal.

 

7. Taxes

 

Subscription fees are exclusive of taxes unless stated otherwise. You are responsible for any taxes, duties, levies, or similar governmental assessments associated with your purchase, except for taxes based on our net income. We may collect taxes where required.

 

8. Text Message Notifications (SMS) and Electronic Communications

 

8.1 Text Message Categories (Service/Transactional vs. Marketing/Promotional)

 

We may send you text messages in two categories:

 

(a) Service/Transactional Messages, which are messages necessary to provide and support the Service (for example, criteria alerts, account/security messages, billing and subscription notices, and other service-related updates), and

 

(b) Marketing/Promotional Messages, which advertise or promote Momentum Bets or the Service (for example, promotions, discounts, special offers, referral programs, or messages encouraging purchase, upgrade, or renewal).

 

8.2 Consent to Receive Service/Transactional Messages

 

Because SMS/text notifications are a core feature of the Service, your subscription includes and requires the ability for Momentum Bets to send you Service/Transactional Messages, including criteria alerts and other service-related communications.

 

If you provide a mobile number and enable SMS notifications in your account settings (or otherwise opt in), you consent to receive recurring automated Service/Transactional Messages from or on behalf of Momentum Bets at the number you provide. Message frequency varies. Message and data rates may apply.

If you do not consent to receive Service/Transactional Messages (or if you opt out of them), you may not be able to receive the SMS alert functionality that is included with your subscription, and Momentum Bets will not be responsible for missed alerts or outcomes resulting from your inability to receive such messages.

 

8.3 Separate Optional Consent for Marketing/Promotional Messages

 

Marketing/Promotional Messages are optional. We will send you Marketing/Promotional Messages only if you separately opt in (for example, by checking an unchecked box or enabling a separate marketing toggle). Consent to receive Marketing/Promotional Messages is not a condition of purchase or subscription. Message frequency varies. Message and data rates may apply.

 

By separately opting in, you authorize Momentum Bets to send recurring automated Marketing/Promotional Messages to the number you provide (including via automated technology), and you understand you can withdraw consent at any time as described in Section 8.4.

 

8.4 Opt-Out; Revocation of Consent; Help

 

You can opt out of text messages at any time by replying STOP to any message. For help, reply HELP or email support@momentumbets.com. We will honor opt-out and consent revocation requests made in any reasonable manner and within the time required by applicable law. We may send a one-time non-marketing confirmation message in response to an opt-out request.

 

Unless you expressly indicate otherwise, replying STOP will opt you out of all SMS/text messages from us to that number (including Service/Transactional and Marketing/Promotional Messages).

If you opt out of Service/Transactional Messages, you will no longer receive SMS alert functionality included with your subscription. Momentum Bets is not responsible for missed alerts or outcomes resulting from your inability to receive such messages. You may need to re-enable SMS or re-opt in to restore alert functionality.

 

To re-enable SMS messages after opting out, you may reply START or UNSTOP (if supported) or update your SMS preferences in your account settings.

 

8.5 Opt-In Required; No Guaranteed Delivery

 

You must remain actively opted in and keep notifications enabled (as applicable) to receive texts. If notifications are disabled or paused, you may not receive messages even if criteria are met. We do not guarantee delivery, timing, or receipt of notifications. Messages may be delayed or fail due to carrier limitations, device settings, network conditions, filtering, congestion, unsupported numbers, or other factors outside our control. Notifications may arrive after odds have changed, markets have closed, or opportunities are no longer available.

 

8.6 Electronic Notices

 

You agree we may provide notices and disclosures electronically (including via email, SMS, or within the Service). You are responsible for keeping your contact information up to date.

 

9. Acceptable Use; Restrictions

 

You may use the Service only for your personal, non-commercial use and only in compliance with these Terms and applicable law.

 

You may not, directly or indirectly:

 

• copy, reproduce, republish, upload, post, publicly display, transmit, sell, or distribute any part of the Service except as expressly permitted;

• use the Service, Content, data, alerts, or notifications to create, develop, train, improve, or operate any competing product, service, model, database, or offering;

• resell, redistribute, syndicate, sublicense, or otherwise make available alerts, notifications, data, or output from the Service to any third party, whether for compensation or otherwise;

 

• use automated means (bots, scrapers, crawlers, spiders, or similar technologies) to access or extract information from the Service;

• aggregate, archive, or store Content, alerts, odds, or data from the Service to create a standalone or derivative dataset or historical database, except as incidentally stored in your personal account for personal use;

 

• bypass or attempt to bypass access controls, authentication, or security measures;

 

• probe, scan, test, or attempt to breach security or vulnerabilities;

 

• interfere with operation, impose unreasonable loads, or disrupt networks;

 

• reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying algorithms (except where prohibited by law);

 

• use the Service to send spam, unsolicited promotions, or unlawful content;

 

• share your account or allow others to access the Service through your account.

We reserve the right to investigate violations of this Section and to suspend or terminate access to the Service, without notice, if we reasonably believe a violation has occurred.

 

10. Feedback and User Content

 

10.1 Feedback

 

Any suggestions, ideas, testimonials, or feedback you provide (excluding personally identifiable information) may be used by us without restriction or compensation. You grant us a perpetual, worldwide, irrevocable, royalty-free license to use, reproduce, modify, display, and distribute such feedback for any lawful purpose, including operating, improving, marketing, and promoting the Service, without restriction or attribution.

 

10.2 User Content

 

If you submit content through the Service ("User Content"), you retain ownership, but you grant us a worldwide, non-exclusive, irrevocable, royalty-free, transferable license to host, store, reproduce, display, distribute, and modify User Content for purposes of operating and improving the Service.

 

You represent and warrant you have all rights necessary to submit User Content and grant this license. We may remove or restrict access to User Content at any time, for any reason, including violations of these Terms or applicable law.

 

11. Intellectual Property

 

The Service (excluding User Content) and all related Content, software, designs, trademarks, logos, and proprietary materials are owned by Momentum or its licensors and protected by law.

 

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal use only, subject to these Terms.

 

12. Third-Party Data, Sources, Links, and Services

 

The Service may rely on third-party data sources and may include links to third-party sites or services. We do not control third parties and are not responsible for their content, availability, accuracy, outages, delays, pricing/odds changes, or practices.

 

Markets may be suspended, removed, unavailable, or changed at any time by sportsbooks or data providers without notice.

 

Your interactions with third parties are between you and the applicable third party.

 

13. Data Accuracy; No Advice; Assumption of Risk

 

While we aim to provide accurate and timely information, we do not guarantee the accuracy, completeness, or timeliness of any information, odds, alerts, or data. You are responsible for independently verifying information before acting.

 

You acknowledge and agree:

 

• odds and markets can change rapidly,

 

• alerts may be delayed or not delivered,

 

• opportunities may be gone by the time you receive a notification, and

 

• you assume all risk of reliance on Service information.

 

14. DMCA Copyright Policy (If You Believe Content Infringes)

 

We respect intellectual property rights and will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA").

14.2 Submitting a DMCA Notice

 

A DMCA notice must include all information required by law, including:

 

• a physical or electronic signature of the copyright owner or authorized agent,

 

• identification of the copyrighted work claimed to be infringed,

 

• identification of the allegedly infringing material and information sufficient to locate it,

 

• your contact information,

 

• a statement of good faith belief the use is not authorized, and

 

• a statement under penalty of perjury that the information is accurate and you are authorized to act.

 

14.3 Counter-Notification

 

If you believe content was removed in error, you may submit a counter-notification including the information required by law. If we receive a valid counter-notification, we may restore the content unless the copyright owner initiates legal action.

 

14.4 Repeat Infringers

 

We may suspend or terminate accounts of repeat infringers in appropriate circumstances.

 

15. Payment Disputes; Chargebacks

 

If you believe you were billed in error, please contact us first at support@momentumbets.com so we can investigate and resolve the issue.

 

If you initiate a chargeback or payment dispute without first attempting to resolve the issue with us, we may suspend or terminate your account and access to the Service. We also reserve the right to dispute chargebacks and provide relevant account and billing records to the payment processor or financial institution.

 

16. Disclaimer of Warranties

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

 

WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

 

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.

 

17. Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

 

17.1 Excluded Damages

 

MOMENTUM (AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

17.2 Notification/Data Reliance

 

MOMENTUM WILL NOT BE LIABLE FOR LOSSES OR DAMAGES ARISING FROM OR RELATED TO:

 

• YOUR RELIANCE ON ANY DATA, ODDS, ALERTS, OR INFORMATION, OR

 

• DELAYED, UNDELIVERED, MISDIRECTED, OR FAILED NOTIFICATIONS (INCLUDING SMS), REGARDLESS OF CAUSE.

 

17.3 Maximum Liability Cap (Incorporated Verbatim)

 

MAXIMUM LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOMENTUM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO MOMENTUM FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, EXCLUDING (A) TAXES AND (B) ANY AMOUNTS THAT WERE REFUNDED, CREDITED, OR SUBJECT TO A CHARGEBACK.

 

IF YOU HAVE NOT PAID ANY SUBSCRIPTION FEES TO MOMENTUM (FOR EXAMPLE, DURING A FREE TRIAL), MOMENTUM'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED US$100 (OR THE EQUIVALENT IN LOCAL CURRENCY).

 

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW OR LIMITS ANY NON-WAIVABLE STATUTORY RIGHTS YOU MAY HAVE.

 

18. Indemnification

 

You agree to indemnify, defend, and hold harmless Momentum and its affiliates, owners, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

 

• your access to or use of the Service,

 

• your violation of these Terms,

 

• your violation of law or the rights of any third party, or

 

• your User Content.

 

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.

 

19. Force Majeure

 

Momentum will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics/pandemics, labor disputes, war, terrorism, civil unrest, government actions, telecommunications or network failures, third-party provider failures, power outages, or internet disruptions.

 

20. Changes to the Service and Terms

 

20.1 Changes to the Service

 

We may modify, suspend, or discontinue any part of the Service at any time, including features, supported data sources, notification methods, and availability.

 

20.2 Changes to These Terms

 

We may update these Terms from time to time. When we do, we will update the "Last Revised" date and make the revised Terms available on the Service (including at MomentumBets.com). Except where we state otherwise, updated Terms become effective when posted.

 

Notice of Changes. To the extent required by applicable law and/or when changes are material, we will provide notice by email to the address associated with your account and/or through a prominent notice within the Service.

 

Acceptance of Updated Terms. By continuing to access or use the Service after the effective date of updated Terms, you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription by logging in at app.momentumbets.com/account and selecting “Manage Subscription,” or, if you are unable to do so, by emailing support@momentumbets.com.

 

We may, where permitted by law, require you to affirmatively acknowledge or accept updated Terms as a condition of continued access to the Service.

 

21. Termination and Suspension

 

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including suspected violations of these Terms or risk to the Service or others.

 

Upon termination, your right to access and use the Service will immediately cease, you may lose access to your settings and criteria. Except where required by law, unused subscription time is not refundable.

Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

 

22. Privacy

 

Our Privacy Policy explains how we collect, use, and share information and is incorporated into these Terms by reference.

You acknowledge that transmission of information over the internet and via SMS is not fully secure. While we take reasonable measures to protect information, we cannot guarantee absolute security.

 

23. Governing Law (United States)

 

Except as set forth in the Dispute Resolution and Arbitration Agreement below (Section 24), these Terms and any dispute arising out of or relating to these Terms or the Service will be governed by the laws of the State of Nevada, without regard to conflict of law principles, and applicable U.S. federal law.

 

Notwithstanding the foregoing, the Arbitration Agreement in Section 24 is governed by the Federal Arbitration Act ("FAA") to the extent applicable.

 

Canada: If you are an eligible user physically located in Ontario, Canada, the Canada Addendum governs your governing law and dispute terms.

 

23.1 Venue for Court Proceedings (U.S.)

 

To the extent any dispute is not subject to arbitration or may be brought in court (including qualifying small claims matters and claims for injunctive or equitable relief permitted by Section 24.7), and to the maximum extent permitted by law, you and Momentum agree that such proceeding will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction and venue there. This Section 23.1 does not apply to Ontario Users covered by the Canada Addendum.

 

24. Dispute Resolution; Arbitration Agreement; Class Action Waiver (United States)

 

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

 

Canada: This Section 24 does not apply to eligible Ontario users covered by the Canada Addendum to the extent the Addendum provides different dispute terms.

 

24.1 Informal Resolution First

 

Before starting arbitration or a court action, you agree to contact us at support@momentumbets.com and provide:

 

• your name and account email,

 

• a description of the issue, and

 

• the relief you are requesting.

 

We will attempt to resolve disputes informally within 30 days of receiving your notice.

 

24.2 Agreement to Arbitrate; FAA Governs

 

If you are a resident of the United States (or your dispute is otherwise subject to the U.S. Federal Arbitration Act), you and Momentum agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration, not in court.

 

This Arbitration Agreement is governed by the Federal Arbitration Act ("FAA") and evidences a transaction involving interstate commerce.

 

24.3 Administrator and Rules

 

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, unless AAA determines another AAA rule set applies based on the nature of the dispute.

 

24.4 Remote First Procedures; Reasonable Location

 

Arbitration will be conducted on a documents-only, video, or telephone basis where feasible. If an in-person hearing is necessary, the location will be determined consistent with applicable AAA rules and due process principles, considering a reasonably convenient location for the consumer.

 

24.5 Fees and Costs

 

Arbitration fees and costs will be governed by applicable AAA rules and fee schedules. Each party will bear its own attorneys' fees unless the arbitrator awards attorneys' fees to a prevailing party under applicable law.

 

We will not seek to impose arbitration costs on you in a manner that would render this Arbitration Agreement unenforceable.

 

24.6 Small Claims Option

 

Either party may bring an individual claim in small claims court if it qualifies and remains an individual-only proceeding.

 

24.7 Injunctive Relief for IP and Security

 

Nothing in this Section prevents Momentum from seeking injunctive or equitable relief in court to protect intellectual property, prevent unauthorized access, or address misuse of the Service.

 

24.8 Class Action Waiver (Individual Proceedings Only)

 

To the maximum extent permitted by law, you and Momentum agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.

 

24.9 Mass Arbitration

 

If 25 or more similar arbitration demands are filed and coordinated by the same or related counsel or organizations ("Mass Arbitration"), the parties agree to cooperate in good faith with AAA to implement fair and efficient procedures consistent with applicable AAA rules (including batching or other case management techniques, where appropriate).

 

24.10 Arbitration Opt-Out (30 Days; No Penalty)

 

You may opt out of this Arbitration Agreement and Class Action Waiver by emailing support@momentumbets.com within 30 days of the date you first accept these Terms.

 

Your opt-out notice must include:

 

• your full name,

 

• the email address associated with your account, and

 

• a clear statement that you are opting out of the "Arbitration Agreement and Class Action Waiver."

 

Opting out will not affect your access to the Service or your subscription price. If you opt out, disputes will be resolved in court as otherwise provided by these Terms (subject to mandatory law).

 

24.11 Changes to Arbitration Agreement

 

Notwithstanding Section 20.2, if we make any future material change to this Arbitration Agreement (other than changes to the notice email/address or other non-material administrative changes), you may reject the change by emailing support@momentumbets.com within 30 days of the posting or notice of the updated Arbitration Agreement, stating your name and the email address associated with your account and clearly indicating that you are rejecting the updated Arbitration Agreement.

 

If you timely reject a material change, you will remain subject to the Arbitration Agreement in effect immediately before the change (unless you previously opted out of arbitration entirely). No changes to the Arbitration Agreement will apply to a dispute for which notice has been provided before the effective date of the change.

26. Miscellaneous

 

26.1 Severability

 

If any provision is held unenforceable, the remaining provisions remain in full force and effect.

 

26.2 Assignment

 

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

 

26.3 Entire Agreement

 

These Terms, including the Canada Addendum (Ontario Only), together with the Privacy Policy and any additional terms presented at checkout or within the Service, are the entire agreement between you and Momentum regarding the Service and supersede prior agreements on the subject.

 

26.4 No Waiver

 

Our failure to enforce any provision is not a waiver of our right to do so later.

 

26.5 Survival

 

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

This Canada Addendum (the "Addendum") applies only to users who are physically located in the Province of Ontario, Canada at the time they access or use the Service ("Ontario Users").

 

If you are an Ontario User, this Addendum supplements and modifies the main Terms. If there is any conflict between the main Terms and this Addendum, this Addendum controls for Ontario Users.

 

A. Ontario Only Availability; Exclusion of Québec and Other Provinces

 

THE SERVICE IS OFFERED IN CANADA ONLY TO USERS WHO ARE PHYSICALLY LOCATED IN THE PROVINCE OF ONTARIO. THE SERVICE IS NOT OFFERED IN QUÉBEC OR IN ANY OTHER CANADIAN PROVINCE OR TERRITORY AT THIS TIME.

 

By creating an account, purchasing a subscription, or using the Service in Canada, you represent and warrant that you are physically located in Ontario at the time of use and that your use complies with applicable law.

 

We may use reasonable methods to verify location (including billing address, IP geolocation, and phone number information) and may suspend or terminate accounts we reasonably believe are outside Ontario or otherwise ineligible.

 

B. Canadian Communications (CASL)

 

For Ontario Users, where Canada's anti-spam and related laws apply to communications, we will provide required identification information and an unsubscribe/opt-out mechanism in commercial electronic messages where required, and we will give effect to unsubscribe/withdrawal requests without delay and within the timeframe required by applicable law.

 

C. Governing Law (Ontario Users)

 

For Ontario Users, to the extent permitted by applicable law, these Terms and any dispute arising out of or relating to the Service will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

 

D. Dispute Resolution (Ontario Users)

 

D.1 Informal Resolution First

 

Before commencing a court proceeding, you agree to contact us at support@momentumbets.com and allow at least 30 days for informal resolution.

 

D.2 Small Claims

 

Either party may bring an individual claim in small claims court if it qualifies and remains an individual-only proceeding.

 

D.3 Courts

 

Otherwise, subject to any non-waivable statutory rights, disputes will be brought in the courts located in Ontario, Canada.

 

D.4 U.S. Arbitration Section Does Not Apply

 

For Ontario Users, Section 24 (Dispute Resolution; Arbitration Agreement; Class Action Waiver) of the main Terms does not apply to the extent prohibited by applicable law, and Ontario Users will resolve disputes as set out in this Addendum.
